Terms of Service

By accessing or using DIXO OnChain ("Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

DIXO OnChain is a decentralized platform for NFT-gated audiobooks and podcasts. We operate on multiple blockchain networks including Apechain, Base, Polygon, Abstract, and Somnia.

You must be at least 18 years old to use this Platform. By using DIXO OnChain, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Use of the Platform may be prohibited or restricted in certain jurisdictions. You are responsible for ensuring your use complies with all applicable local laws.

NFTs are Non-Fungible Tokens. Blockchain transactions are irreversible.

• All NFT purchases are final and non-refundable
• You are responsible for securing your wallet and private keys
• We cannot reverse, cancel, or modify blockchain transactions
• Gas fees are separate from NFT prices and are non-refundable
• Smart contract interactions carry inherent risks including bugs, exploits, and loss of funds

Certain NFTs grant fractional IP ownership and revenue share rights. Read carefully.

Some DIXO OnChain projects (such as King Rat) offer NFTs that include:

• Fractional IP Ownership: You own a percentage of the intellectual property rights, NOT the copyright itself
• Revenue Share: You may earn proportional revenue from specified income streams
• No Guarantees: There is NO guarantee of any earnings, profits, or returns

IP ownership NFTs are NOT securities. They are utility tokens that grant access to content and revenue share rights tied to specific intellectual property. This is an experimental model. Consult your own legal and financial advisors.

NFT ownership grants you access to audiobooks, podcasts, or other content as specified in each project's terms. Access is contingent on:

• Continued ownership of the required NFT(s)
• Availability of our hosting infrastructure
• Compliance with these Terms

We reserve the right to update, modify, or discontinue content at our discretion. Content may be removed for legal, technical, or business reasons.

You may not:

• Redistribute, resell, or commercially exploit content without explicit permission
• Use automated tools (bots) to interact with smart contracts or mint NFTs
• Attempt to manipulate prices or engage in wash trading
• Violate intellectual property rights
• Engage in fraudulent or illegal activities
• Interfere with the Platform's security or functionality

THE PLATFORM AND ALL NFTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security of smart contracts or blockchain networks
• Future value or profitability of NFTs

CRYPTOCURRENCY AND NFT MARKETS ARE HIGHLY VOLATILE. YOU MAY LOSE ALL OF YOUR INVESTMENT. DO NOT INVEST MORE THAN YOU CAN AFFORD TO LOSE.

To the maximum extent permitted by law, DIXO OnChain and its affiliates, officers, employees, and agents will NOT be liable for any:

• Loss of profits, revenue, or data
• Indirect, incidental, or consequential damages
• Smart contract bugs, hacks, or exploits
• Blockchain network failures or congestion
• Loss or theft of NFTs or cryptocurrency
• Tax liabilities arising from NFT transactions or revenue share

Our total liability to you for all claims will not exceed the amount you paid to us in the 12 months preceding the claim.

All content on the Platform (including text, graphics, logos, audio, code) is owned by DIXO OnChain or licensed to us. You may not use our intellectual property without written permission, except as explicitly granted through NFT ownership.

NFT ownership grants you limited rights as specified in each project's terms. These rights do not include copyright ownership unless explicitly stated.

You are responsible for all taxes.

NFT purchases, sales, and revenue share may create tax obligations in your jurisdiction. We do not provide tax advice. Consult a tax professional.

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last Updated" date. Continued use of the Platform after changes constitutes acceptance of the new Terms.

These Terms are governed by the laws of Mexico. Any disputes will be resolved through binding arbitration in Mexico City, Mexico, except where prohibited by law.

You waive any right to participate in class action lawsuits or class-wide arbitration.

We may suspend or terminate your access to the Platform at our discretion, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Legal or regulatory requirements

Termination does not affect your ownership of NFTs already minted, but may affect your ability to access gated content.
